Marvell Technology, Inc. and Lumentum have signed a definitive agreement under which Marvell will acquire Lumentum in an all-stock transaction valued at an implied enterprise value of USD 115 billion.

The deal, announced on November 2, 2026, sets a fixed exchange ratio of 4.500 shares of Marvell common stock for each share of Lumentum common stock.

Agreement on Share Valuation

The implied value works out to approximately USD 1,132 per Lumentum share, a premium of about 23.9% measured against the unaffected closing prices of both stocks as of October 28, 2026. The companies identified that date as the last trading day before market speculation about a possible transaction began.

Ownership of the combined company will be divided roughly two-thirds to one-third on a fully diluted basis once the transaction closes. Current Marvell stockholders are expected to hold approximately 67%, with Lumentum stockholders holding approximately 33%.

Why the Companies Are Combining Now

The companies framed the agreement around what they describe as an inflection point in AI infrastructure. Rapidly growing bandwidth requirements, together with the physical limitations of copper-based connectivity, are accelerating a transition toward optical technologies, according to the announcement.

As AI systems scale into increasingly complex architectures, particularly scale-up and scale-in configurations, the industry is moving away from discrete, modular components and toward highly integrated optical solutions that demand closer co-design of electrical and optical technologies to deliver greater bandwidth, performance, and energy efficiency.

Each side brings distinct capabilities to the combination.

Marvell's strengths include electrical and optical interconnect, network switching, custom XPU and XPU attach, and advanced semiconductor technologies, while Lumentum contributes high-performance lasers, optical transceivers, optical circuit switching known as OCS, and specialized compound semiconductor manufacturing.

After closing, the combined company is expected to offer a portfolio spanning leading-edge CMOS, silicon photonics, compound semiconductors, advanced packaging, and manufacturing capabilities.

The companies say the merger is intended to enable deeper integration and co-design across the electrical and optical signal chain, positioning Marvell to deliver optimized connectivity solutions across a wide range of distances, from distributed data centers down to connections within advanced semiconductor packages.

CEOs Frame the Market Opportunity

Leadership at both companies emphasized the scale of the opportunity the deal is meant to capture.

Matt Murphy, Chairman and CEO of Marvell, described the current moment as an architectural shift of rare significance. "AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation," Murphy said.

He added that the companies that move first and help define the transition will set the standard for decades to come and that by uniting two leaders with complementary technologies, talent, and manufacturing capabilities, Marvell intends to help shape the next era of AI connectivity and create exceptional stockholder value.

Michael Hurlston, President and CEO of Lumentum, pointed to the market size. "Joining Marvell creates a company uniquely positioned to capitalize on a market opportunity of USD 550 billion and generate significant, sustainable stockholder value," Hurlston said, noting that surging AI data traffic requires rapid hardware innovation and that the combination enhances the company's ability to deliver next-generation solutions at scale.

Hurlston also said that together with Marvell, the company will meet customers' complete interconnect needs, "spanning scale-across and scale-out today to scale-up and scale-in domains tomorrow."

He argued that extreme co-design around customers' demanding requirements will help customers achieve faster time to market, accelerated innovation cycles, and category-defining performance.

Projected Synergies and Accretion

The transaction comes with specific financial expectations.

The companies project line of sight to more than USD 1 billion in annual run-rate cost synergies. The deal is also expected to be accretive to Marvell's non-GAAP earnings per share in the first year after closing.

Beyond synergies, the combination is expected to expand the combined company's total addressable market to USD 550 billion. The companies stated that the transaction is expected to enhance long-term revenue growth as well as the non-GAAP gross margin and non-GAAP operating margin profile of the combined business.

Strategic Benefits Cited in the Announcement

Among the strategic benefits laid out in the announcement is the creation of what the companies call a category leader in AI connectivity.

Combining Marvell's electrical and optical interconnect, switching, and custom silicon technologies with Lumentum's high-performance lasers, optical transceivers, and OCS capabilities would give the merged company a comprehensive connectivity portfolio spanning scale-across, scale-out, scale-up and scale-in.

Upon closing, the combined company anticipates being positioned to address customer connectivity requirements across a broad range of distances and topologies, from distributed data centers to advanced semiconductor packages.

The companies also expect the deal to enable end-to-end extreme co-design and accelerate customer innovation. As AI infrastructure grows more complex, customers require higher levels of integration and optimization across digital, analog, and optical technologies.

By bringing together complementary technologies and engineering expertise across the signal chain, the combined company expects to support those requirements, with the goal of enabling high-volume production of fully-optimized, pre-validated optical solutions and faster time to market for customers.

Where the Companies Are Based

Marvell Technology, Inc. trades on the NASDAQ exchange under the ticker MRVL, while Lumentum trades under the ticker LITE. The joint announcement was issued from Santa Clara, California, cited as Marvell's home base, and San Jose, California, cited for Lumentum.

The companies described the combination as bringing together "two of the fastest-growing enablers of AI," with the stated aim of addressing increasingly complex connectivity requirements across next-generation AI infrastructure through a broad full-stack connectivity portfolio.
